These Terms of Use (“Terms”) are provided to you by Beryllium, LLC, dba Beryllium InfoSec Collaborative and its affiliates and subsidiaries (collectively, “Beryllium,” “us,” “our,” or “we”) and governs your access to and use of our websites that link to these Terms, including www.berylliuminfosec.com (the “Services”).
If you do not agree to these Terms, you may not use or access the Services. You should check this page regularly to take notice of any changes we may have made to the Terms of Use. Your use of the Services may be subject to additional terms.
THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING YOUR ASSUMPTION OF RISK, OUR WAIVER OF LIABILITY, AND REQUIREMENTS TO RESOLVE DISPUTES ON AN INDIVIDUAL, NON-CLASS BASIS. FOR MORE INFORMATION, PLEASE SEE SECTIONS 9-11.
By accessing the Services, you agree that these Terms of Use (which we may amend from time to time): (1) will govern your use of the Services and (2) constitute a binding agreement between you and Beryllium. If you do not accept these Terms of Use, you are not authorized to access or use the Services.
The intellectual property rights in all software and content (including photographic or video images) made available to you on or through the Services and their entire contents, features, and functionality (including but not limited to all information, software, text, graphics, displays, images, user and visual interfaces, specifications, certifications, technical guidelines, catalogs, data, video, audio, and other Beryllium materials contained herein, as well as the design, structure, selection, coordination, expression, “look and feel,” and arrangement thereof (herein, the “Content”) remain the property of Beryllium, its licensors, or other third party providers of the Content and are protected by United States and other international copyright, trademark, patent, trade secret, and other intellectual property or property rights laws and treaties around the world. All such intellectual property rights, whether trademarks, patents, copyrights or other proprietary rights are reserved by and are the sole property of Beryllium, LLC, and its licensors. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the Content or copies of the Content supplied to you or which appears on the Services nor may you use any such Content in connection with any business or commercial enterprise. You may not generally download or print Content, although you are permitted to download or print no more than one (1) copy of the Beryllium’s Content for your personal or internal business use and reference, provided that you include all applicable copyright and proprietary rights notices.
The Beryllium name, logos, trademarks (whether issued or applied for), service marks, and all related names, logos, trade dress, product and service names, designs, and slogans are the intellectual property of Beryllium or its affiliates or licensors. Use of marks without the prior written permission of Beryllium is expressly prohibited. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
Access to the Services is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services without notice. We will not be liable if, for any reason, the Services are unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of the Services.
The Services are intended for adults only. The Services are not intended for any user under the age of 18 or under the age of majority in your jurisdiction.
You agree to comply with all applicable laws regarding your use of the Services. You further agree that information provided by you is truthful and accurate to the best of your knowledge. The use of the Services is at the discretion of Beryllium and Beryllium may terminate your use of the Services at any time.
Beryllium grants you a limited, revocable, nonexclusive license to use the Services solely for your own personal use. By using the Services, you agree not to use the Services in violation of any applicable laws, not to use it for insertion of your own or a third party’s advertising, branding, or other promotional content, nor to infringe or violate any third party rights, or employ any device intended to disable or impair the Services’ operation.
The Services have been established primarily for the benefit and use of Beryllium’s customers and potential customers. Not all products or services referred to may be available, and Beryllium may change or discontinue the product or service described by the Services at any time. We reserve the right to modify the contents of the Services at any time, but we have no obligation to update any information on the Services.
We will use reasonable efforts to include accurate and current information on the Services, but there may be occasions when information on the Services contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, availability, and other matters. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your request).
We are not responsible if information made available on the Services is not accurate, complete, or current. The material on the Services is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on the Services is at your own risk. Beryllium disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its Content.
We have no obligation to update, amend, or clarify information on the Services, including without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Services should be taken to indicate that all information on the Services has been modified or updated.
The Services may contain certain historical information. Historical information, necessarily, is not current and is provided for reference only.
You understand and agree that any submission by you of any ideas, suggestions, concepts, methods, systems, designs, plans, techniques, business information, inventions, or other information relating to Beryllium’s products or services (“Unsolicited Ideas and Materials”) is on a non-confidential basis, and by doing so you represent and warrant that you own or have a license to use such information, and, further, grant Beryllium an unrestricted, irrevocable, perpetual, sublicensable, and royalty free license to use, reproduce, display, and transmit such information. Our receipt of your Unsolicited Ideas and Materials is not an admission by Beryllium of their novelty, priority, or originality, and it does not impair our right to contest existing or future intellectual property rights relating to Unsolicited Ideas and Materials.
Beryllium reserves the right, and you authorize us, to use and assign all information regarding your use of the Services and all information provided by you in any manner consistent with our Privacy Policy, which is incorporated by reference.
We may send electronic mail for the purpose of advising you of changes or additions to the Services, about any of our products or services, or for such other purpose(s) as we deem appropriate. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
The Services may contain links to other websites (the “Linked Sites”), which are not operated by Beryllium, and therefore we have no control over the Linked Sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of the Linked Sites will be subject to the terms of use and service contained within each such site.
Some jurisdictions do not permit the exclusion of implied warranties, so the above exclusion may not apply to you. You may have other rights which vary by jurisdiction. If applicable law does not allow the exclusion of some or all of the above implied warranties to apply to you, the above exclusions will apply to you to the fullest extent permitted by applicable law.
To the fullest extent permitted by applicable law, the material displayed on the Services are provided without any guarantees, conditions or warranties as to its accuracy, or fitness for a particular purpose. Unless expressly stated to the contrary to the fullest extent permitted by law, Beryllium, and its parent(s), subsidiaries, and affiliates and each of their respective officers, vendors, licensors, licensees, contractors, customers, successors, and assigns (collectively, “Beryllium Parties”) and its suppliers, content providers, marketing partners and advertisers hereby disclaim and make no representations, warranties, endorsements, or promises, express or implied, as to: (a) the Services, including the Content; (b) the functions, features, or any other elements on, or made accessible through, the Services; (c) any products, services, or instructions offered or referenced at or linked through the Services; (d) security associated with the transmissions to Beryllium or via the Services; (e) whether the Services or the servers that make the Services available are free from any harmful components (including viruses, Trojan horses, and other technologies that could adversely impact your device); (f) whether the information (including any instructions) on the Services is accurate, complete, correct, adequate, useful, timely, or reliable; (g) whether any defects to or errors on the Services will be repaired or corrected; (h) whether your access to the Services will be uninterrupted; (i) whether the Services will be available at any particular time or location; and (j) whether your use of the Services is lawful in any particular jurisdiction.
To the fullest extent provided by law, under no circumstances will Beryllium Parties be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, personal injury, pain and suffering, emotional distress, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, performance or failures of this the Services and any materials posted thereon, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise.
Beryllium’s entire liability and your exclusive remedy with respect to any Dispute (as defined below) with Beryllium (including without limitation your use of the Services or receipt of any communications) is to discontinue your use of the Services. To the extent that any of the above provisions in this section are not enforceable in an applicable jurisdiction, Beryllium’s maximum liability will be limited to one hundred dollars ($100).
You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in these Terms that directly conflict with such laws may not apply to you.
Beryllium seeks to resolve disputes amicably and efficiently, and many customer inquiries can be resolved by emailing email address. If any controversy, allegation, or claim arises out of or relates to the Services, the Content, or these Terms, whether heretofore or hereafter arising (collectively, “Dispute”), you agree that, before initiating any legal action, you will first provide us written notice (a “Notice of Dispute”) via email at email address so that we may work with you in good faith to find a mutually agreeable solution. Your Notice of Dispute must describe the nature and basis of the Dispute and set forth the specific relief you are seeking.
During the sixty (60) days from the date we receive your Notice of Dispute, both parties agree to engage in good faith efforts to resolve the Dispute. During this sixty (60) day period, both parties agree to toll any statutes of limitations that may apply, along with any filing deadlines.
Unless otherwise prohibited by applicable law, you waive any right to a jury trial and you agree that any and all Disputes (whether based in contract, statute, tort, or any other theory) will be resolved individually, without resort to any form of class action, collective action, or representative action. All claims must be brought solely in a party’s individual capacity, and not as a plaintiff or class member in any purported class action, collective action, consolidated action, representative action, or proceeding.
To the fullest extent permitted by applicable law, you must assert any Dispute (by delivery of the Notice of Dispute) within one year after the Dispute arises, or it will be forever barred.
You expressly agree that all matters relating to the Services and to these Terms, and any Dispute arising therefrom or related thereto (in each case, including non-contractual Disputes), shall be governed by and construed in accordance with the laws of Texas without giving effect to any choice or conflict of law provision or rule (whether of Texas or any other jurisdiction). You further agree and consent to the exercise of exclusive subject matter and personal jurisdiction, regarding any Dispute with Beryllium, or in any way relating to your use of the Services, in any state of federal court in Dallas, Texas in connection with any such Dispute.
Those who choose to access the Services from locations outside of the United States do so on their own initiative, and are responsible for compliance with local laws if and to the extent local laws are applicable, including without limitation, all applicable laws, rules, and regulations regarding the transmission of data exported from the United States or the country in which you reside (if different from the United States).
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them on this page and apply to all access to and use of the Services thereafter. Our changes will be indicated by the Last Updated date above. You can view the most recent version of these Terms at any time on this webpage. Use of the Services after these Terms have been modified shall constitute and be deemed your unconditional acceptance of the changes.
Wherever the word “including” is used in these Terms, the word will be deemed to mean “including, without limitation.” The section headings are provided for convenience only and shall not limit the full Terms.
We shall not be held liable for any delay or failure in performance of any part of these Terms from any cause beyond our control and without our fault or negligence, such as acts of God, epidemics or pandemics, acts of civil or military authority, current laws and regulations and changes thereto, embargoes, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, other major environmental disturbances, unusually severe weather conditions, acts of hackers and other illegal activities of third parties, inability to secure products or services of other persons or transportation facilities, acts or omissions of transportation or telecommunications common carriers, or acts, omissions, overloading, or slow-downs over the internet or any third party internet service providers.
Beryllium may terminate these Terms at any time, with or without notice, for any reason. Upon any termination of these Terms, you must promptly destroy all materials downloaded or otherwise obtained from the Services, as well as any copies of such materials.
Nothing contained in these Terms or your use of the Services shall be construed to constitute either party as a partner, joint venturer, employee, or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability, or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.
Beryllium may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. These Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of a Beryllium officer.
These Terms constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and Beryllium, LLC. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by an officer of Beryllium, LLC. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the Services.
